Atari announced its intention to move its legal home to Luxembourg and swap 200 shares for one
The company said it expected both steps to be completed by July 2026, with shareholders to be asked to approve the move at an extraordinary general meeting.
Atari said on Feb 17, 2026 that it intended to transfer its legal domicile from France to Luxembourg. It also said it intended to carry out a reverse stock split, which replaces many old shares with fewer new ones: 200 former shares with a par, or nominal, value of €0.01 would become one new share with a par value of €2.0. The company said the move would change its country of incorporation but leave it the same business, with the same assets and shareholders. The AMF, France's market regulator, lists the release as inside information, the label for news a listed company must publish promptly.1,2,3,4,5
Atari said these actions would align its corporate structure with its growing European and international footprint, which it said resulted from its acquisition of Thunderful, whose last trading day the release gave as Feb 24, 2026. It added that Luxembourg offered a well-established legal and regulatory framework for international companies with a European footprint.6,7,8
The company said shareholders would be asked to approve the move at an extraordinary general meeting. It said shareholders who voted against it at the meeting in France would be offered the chance to sell their shares to the company at a price it would announce before the meeting, and that a court-appointed conversion auditor would review that price.9,10,11
Atari also had €30 million of convertible bonds, a kind of debt that can be converted into shares, maturing on July 31, 2026, and it said it would consult their holders on the move. Irata LLC, which owned approximately 98% of the bonds according to the release, had agreed not to request the repurchase of its bonds. The company also said that once the move was complete, Irata LLC crossing the 50% threshold in capital or voting rights would not oblige Irata LLC to file a mandatory tender offer on Atari, a public bid for the remaining shares.12,13,14,15,16
The company said the reverse split aimed to restore a customary share count level, reduce share price volatility and support a more efficient trading dynamic. It called the split a purely technical exchange with no impact on the value of the shares each shareholder held.17,18
Atari described a portfolio of more than 400 games and franchises, among them Asteroids, Centipede, Missile Command, Pong and RollerCoaster Tycoon. Its brands included the game developers Digital Eclipse and Nightdive Studios and the publishing label Infogrames. The company said the move would have no impact on the exchanges its shares traded on.19,20,21,22
