Ubisoft announced on Jun 9, 2026 a new employee shareholding operation, an offer of newly issued shares to staff of the group in France and abroad. The company said the aim was to strengthen employee shareholding and tie employees more closely to the group’s development and future performance. The AMF, France’s financial markets regulator, lists the release as inside information, its label for news a listed company must publish as soon as it can because it may move its price.12345

The offer was reserved to employees of Ubisoft companies and branches in fifteen jurisdictions who had at least three months’ seniority between Jan 1, 2025 and the end of the subscription period, and to retired employees in France who held assets in the Ubisoft Group Savings Plan. The company said it could decide not to run the offer in a jurisdiction if a legal, tax or practical constraint required it.6789

Employees could subscribe under a leverage formula through a company mutual fund known as an FCPE, or directly under a formula that pairs shares with stock appreciation rights (SAR), depending on local rules. At the five-year maturity, or on an early release, each beneficiary would receive the amount invested plus a multiple of the potential protected average increase in the share price, after any applicable tax and social security contributions were deducted. The subscription price was to be the average of the twenty daily volume-weighted average prices of Ubisoft shares on Euronext Paris before the decision fixing the subscription dates, less a 15% discount, rounded up to the higher euro cent. The shares were to be locked up for five years from completion, which Ubisoft expected on Sep 17, 2026, except in early release cases set by the French Labour Code.1011121314

The company’s board set the maximum at 2,000,000 shares, about 1.48% of the share capital, based on the 134,735,648 shares outstanding at the end of February. Decisions of the chief executive dated May 7, 2026 raised it to 2,694,712 shares, within the limit set by the general meeting of Jul 10, 2025. The release capped the FCPE offer at 1,650,002 shares, about 1.22% of the 134,735,648 reference shares, and the Shares + SAR offer at 1,044,710, about 0.78%.1516171819

The provisional timetable set a reservation period from Jun 16 to Jul 2, 2026, price fixing on Aug 11, a subscription and revocation period from Aug 13 to Aug 20, the capital increase on Sep 17 and the end of the lock-up on Sep 16, 2031. The release called the dates indicative: the board or the chief executive could postpone them, provided the offer was completed no later than Sep 17, 2026, or decide not to complete it if they judged that in the beneficiaries’ best interest and, as far as possible, up to the last day of the subscription period.202122
