Atari completed its move from France to Luxembourg, with withdrawal rights exercised on 12,106 shares
The company said the conversion did not affect its operations or its Euronext Growth Paris listing. Shareholders who voted against it were offered the possibility to sell their shares to the company at €24.00 each.
Atari said on Jul 7, 2026 that it had completed its re-domiciliation, the move of a company's legal home, from France to Luxembourg. It did so through a cross-border conversion of Atari SA into a company under Luxembourg law, a société anonyme, which is a public limited liability company, effective Jul 6, 2026. Atari published the notice with the AMF, France's financial markets regulator, under the AMF's inside-information label, the one for news that a listed company must publish as soon as it can because it may move its share price.1,2,3,4
The company said the conversion was intended to give the group more operational flexibility for its long-term growth plans, and that Luxembourg offered a well-established legal and regulatory framework for international companies as its European operations expanded. It said the conversion did not affect the group's business operations or its listing on Euronext Growth Paris, and that Atari would continue to execute a strategy focused on premium games, retro gaming, publishing and the expansion of its intellectual property portfolio. For shareholders, the release said the conversion involved no new securities, no exchange of shares and no offer to the public, and did not by itself change the ISIN code, ticker symbol or trading venue of the shares. As of the effective date, the company said, Atari was governed by the laws of Luxembourg rather than by French company law.5,6,7,8
In accordance with French law, the company offered shareholders who had voted against the conversion at the general meeting of May 27, 2026 the possibility to sell their shares to it at €24.00 a share, the release said. Withdrawal rights over 12,106 shares, about 0.4% of the share capital, were exercised, and the release said settlement was expected no later than Sep 6, 2026. Atari said it intended to substitute third parties, including Atari employees, officers or other individuals, to acquire those shares.9,10,11
Atari described its portfolio as more than 400 games and franchises, among them Asteroids, Centipede, Missile Command, Pong and RollerCoaster Tycoon, and counted the developers Digital Eclipse and Nightdive Studios in its family of brands. The release said the company's shares were listed in France on Euronext Growth Paris under the ticker ALATA and on OTC Pink Current under PONGF.12,13
