Electronic Arts' acquisition by an investor consortium of the Public Investment Fund and funds affiliated with Silver Lake and Affinity Partners closed on Aug 4, in a deal with total consideration of approximately $55 billion. Each EA share, with a few exceptions, was converted into the right to receive $210 per share in cash, without interest, and EA became a wholly owned subsidiary of a parent entity the consortium formed. EA reported it in an 8-K filed that day, the form a US-listed company uses to report a major event; among its items are Item 2.01 (the completed acquisition), Item 5.01 (the change of control) and Item 3.01 (the delisting notice).123456

EA asked Nasdaq to suspend trading in its stock before the open on Aug 5 and to file for its removal from listing, and said it intended to ask the SEC to end the registration of its shares and suspend its reporting obligations. Unvested restricted stock units, stock awards that vest over time, became restricted cash awards based on the $210 price, on the same terms apart from performance conditions.789104

The merger agreement is dated Sep 28, 2025, and EA filed it with an 8-K on Sep 29, 2025. EA filed a preliminary merger proxy statement, the document sent to shareholders ahead of a vote on a merger, on Nov 10, 2025 and the definitive version on Nov 20, 2025. At a special meeting on Dec 22, 2025, stockholders adopted the merger agreement, with 201,459,396 votes for.11121314151617

The consortium's acquisition entity, which the filing calls Parent, borrowed under a credit agreement funded on Aug 4: a term loan B of $6,125.0 million and €1,725.0 million, and a term loan A of $3,250.0 million. EA is among the guarantors, and the obligations are secured by substantially all assets of the borrower and the guarantors, EA included, subject to exclusions.1819

BioWare, Criterion Games, EA DICE, Motive Studio and Respawn Entertainment are among the studios under EA. Criterion Games, EA DICE, Motive Studio and Ripple Effect Studios develop Battlefield 6, Respawn Entertainment develops Apex Legends, and EA Romania and EA Vancouver develop EA Sports FC 26 and EA Sports FC 27; EA publishes all of them. Egon Durban, Silver Lake's chief executive, said in EA's press release that the investors are joining to invest heavily in EA's growth, including what AI can do for game development and player experience.20212223242526272829303132333435

The 8-K and the press release attached to it, as we hold their text, do not say what was planned for any studio or game. The text of the Sep 29, 2025 8-K and of the proxy statements is not available here.53612
