Intel and the other parties to its agreement to sell a majority interest in its Altera business amended that agreement on Aug 11, 2025. The amendment, called Amendment No. 1, made technical changes to the definitions used to calculate the purchase price, and Intel said at the time that it did not expect them to materially impact the net cash proceeds to Intel from the transaction. It also provided that the closing was not to occur before Sep 12, 2025 without the prior written consent of each party, and it extended the initial date by which the closing had to occur from Aug 12, 2025 to Sep 13, 2025. Intel reported the amendment in an 8-K, the current report a US-listed company files when an event matters to its shareholders, filed on Aug 14, 2025 under item 1.01, entry into a material definitive agreement.1234567

The original agreement, which the 8-K called previously disclosed, was entered into on Apr 14, 2025 by Intel Corporation, Intel Americas, Inc., Altera Corporation and SLP VII Gryphon Aggregator, L.P., the purchaser. Under it, Intel agreed to sell a majority interest in its Altera business to the purchaser.2

The filing carried Intel's forward-looking statements about Amendment No. 1, including the impacts it expected from the changes to the purchase price calculation. Among the risks Intel listed was that the transaction might not be completed in a timely manner or at all, including as a result of a failure to receive regulatory approvals. Another was the risk of Intel losing future business with the Altera business as a result of selling a controlling interest in it.8910

Our records hold the text of this one 8-K, with items 1.01 and 9.01, and not the filing's other exhibits. The one document of the deal that we hold states a premium over a market price in 0 sentences, an equity value in 0 and an enterprise value in 0.11121314

The latest filing that moves this deal is an 8-K. Either it reports a material agreement (item 1.01), which doesn't say what the agreement is, so a deal listed only from it may not be a merger or a purchase; or it reports an acquisition or a sale of assets (item 2.01) and we hold no text of it that says the transaction was completed.
