Intel received $5.695 billion in accelerated US funding on Aug 27, 2025 and issued shares and a warrant to the Commerce Department
An 8-K filed Aug 29, 2025 reported the Aug 27 closing and an amendment that dropped project milestones from Intel's Direct Funding Agreement.
Intel received $5.695 billion in accelerated disbursements under its Direct Funding Agreement with the US Department of Commerce on Aug 27, 2025, the day the closing occurred under a warrant and stock agreement they signed on Aug 22. At the closing, Intel issued 274,583,000 shares of common stock to the department, along with a warrant, exercisable under certain conditions, to buy up to 240,516,150 more shares. It also issued 158,740,000 shares into escrow for the department, to be released as the government makes disbursements under the Secure Enclave program of the CHIPS Act. Intel, a hardware company listed on Nasdaq as INTC, reported all of this on an 8-K, the current report a US-listed company files when a significant event occurs, and used the items for a material agreement and for other events.1,2,3,4,5,6,7,8
On Aug 27 Intel and the department also signed an amendment to the Direct Funding Agreement of Nov 25, 2024. The amendment removed the earlier project milestone requirements and certain other conditions on disbursements, with Intel certifying that it had spent at least $7.865 billion to date in eligible costs on projects under the agreement. It also removed the requirement that Intel share with the department a percentage of each project's cumulative free cash flow above set thresholds, and the workforce policy requirements except where the law requires them. Some limits stayed, among them the restriction on using funds under the CHIPS Act of 2022 for dividends or share repurchases, the restrictions on change of control transactions with prohibited persons or foreign entities of concern, and the restrictions on expanding chip-making capacity in certain foreign countries. The 8-K said the department may have rights and remedies, including the potential repayment of some or all of the awards, if Intel breached those remaining obligations.2,9,10,11,12,13,14,15,16
The closing followed the agreement of Aug 22, 2025, under which the government agreed to make $8,869,800,000 of disbursements to Intel in total. Of that, $5,695,000,000 was the acceleration of disbursements under the Direct Funding Agreement, and $3,174,800,000 came under the Secure Enclave program.2,17,18,19
