Mobileye Global said in an 8-K filed on Jul 8, 2025 that it had agreed on Jul 7 to buy $100 million of its Class A shares from Intel Overseas Funding Corporation, a wholly owned subsidiary of Intel and Mobileye’s majority stockholder. An 8-K is the report a US-listed company files to disclose an event; this one carried items 1.01 (a material agreement), 2.02 (results), 3.02 (shares issued without registration) and 7.01 (a disclosure to all investors at once). The Intel unit was starting an underwritten secondary offering, a sale of existing shares by a holder, of 45 million Class A shares, and planned to give the underwriters a 30-day option on up to 6.75 million more. The repurchase price per share was set at the price the underwriters were to pay in the offering. The repurchase depended on the offering closing, though the offering did not depend on the repurchase. The disinterested members of Mobileye’s audit committee and board approved the terms.12345678910

The Intel unit also told Mobileye it planned to convert 50 million Class B shares into Class A shares, contingent on the offering closing. It said it intended to hold the Class A shares at this time and was converting solely to increase the number of Class A shares outstanding; Mobileye would receive no proceeds from that issuance.111213

In the same filing Mobileye estimated revenue for the three months ended Jun 28, 2025 at $502 million to $506 million, an increase of about 14% to 15% on $439 million for the quarter ended Jun 29, 2024. It said the rise was expected to come primarily from higher EyeQ SoC revenue, driven by higher customer demand and the normalization of excess inventory at its Tier 1 customers. It estimated an operating loss of $76 million to $82 million, against a loss of $94 million a year earlier. Its adjusted operating income, a non-GAAP measure that leaves out amortization of acquired intangibles and share-based compensation, was estimated at $98 million to $104 million, against $79 million. The company’s auditor had not audited, reviewed or examined the estimates.141516171819

Mobileye also said it had recently entered into an agreement under which TSMC would make components of its imaging radar and some future generations of its EyeQ chips, and potentially other future products. It said it had a long-standing relationship with STMicroelectronics to manufacture its EyeQ chips and had sought additional qualified suppliers for redundancy.202122

A second 8-K, filed on Jul 11, 2025, reported that the offering, by then of 57,500,000 shares at a public price of $16.50 a share, closed that day. Mobileye’s Form 10-Q for the quarter ended Jun 27, 2026 gave, for the year-earlier quarter ended Jun 28, 2025, revenue of $506 million and an operating loss of $74 million.232425262728
