On Mar 31, 2026, Sony Corporation, a wholly owned subsidiary of Sony Group, and TCL Electronics Holdings Limited signed legally binding definitive agreements for a strategic partnership in home entertainment. Sony Group reported it on a Form 6-K, the report that a foreign private issuer files with the Securities and Exchange Commission.1234

Under the agreements, Sony would set up a wholly owned subsidiary to take over its home entertainment business, and TCL would subscribe to a portion of that company's shares, forming a joint venture in which TCL would hold 51% and Sony 49%. The new company, planned to be named BRAVIA Inc., would take over Sony's home entertainment business, which includes product development and design, manufacturing, sales and logistics, and customer service for products such as consumer TVs under the BRAVIA name, business-to-business flat panel and LED displays, projectors and home audio equipment. Sony would also transfer 100% of the equity in its Malaysian manufacturing subsidiary, Sony EMCS (Malaysia), known as SOEM, to TCL. The parties expected to keep discussing a transfer to TCL of all or part of the equity in Shanghai Suoguang Visual Products, known as SSVE, another manufacturing subsidiary.56789

Sony and TCL gave an enterprise value for the businesses going to the new company together with SOEM: approximately 102.8 billion yen, a figure that excludes SSVE. An enterprise value is the value of a business's shares plus its debt, less its cash. The consideration payable by TCL was assumed to be approximately 75.4 billion yen at that point, calculated from the equity value derived from the enterprise value with adjustments for certain net debt, working capital and other items, and prorated to TCL's ownership of the new company and SOEM. The final amount was to be set at closing, after further adjustments for certain net debt and working capital.10111213

The deal was subject to regulatory approvals and other conditions, and at the time the new company was expected to begin operations in April 2027. It was expected to become a consolidated subsidiary of TCL and an equity-method affiliate of Sony. Sony said it expected any gain or loss from issuing part of the new subsidiary's shares to TCL and from the transfer of SOEM to be immaterial to Sony Group's consolidated financial results.141516

The signing followed a memorandum of understanding announced on Jan 20, 2026, after which Sony and TCL had continued their discussions. Kenji Tanaka of Sony Corporation, who was to become its representative director, president and CEO on Apr 1, 2026, said Sony had gained an excellent partner. Sony Group is also the parent of Sony Interactive Entertainment, which publishes titles including God of War Ragnarök and Helldivers 2.17181920
