Sony Semiconductor Solutions and TSMC announced a non-binding agreement to form an image sensor partnership
The memorandum of understanding proposed a joint venture with Sony Semiconductor Solutions as majority and controlling shareholder, with production lines in the Sony unit's new fab in Kumamoto Prefecture.
On May 8, 2026, Sony Semiconductor Solutions Corporation, a wholly owned subsidiary of Sony Group, and Taiwan Semiconductor Manufacturing Company (TSMC) announced the signing of a non-binding memorandum of understanding to form a strategic partnership for developing and manufacturing next-generation image sensors. Sony Group filed the announcement the same day in a Form 6-K, the report a foreign company sends the US Securities and Exchange Commission.1,2,3,4
Under the proposal, Sony Semiconductor Solutions and TSMC intended to establish a joint venture, with the Sony unit as majority and controlling shareholder, that would set up development and production lines in the Sony unit's newly built fab in Koshi City, Kumamoto Prefecture. They were discussing potential investments by the venture. Those investments, together with new capital investment by Sony Semiconductor Solutions in its existing plant in Nagasaki, were being considered on the premise that they would be carried out in phases based on market demand and would receive support from the Japanese government. The partnership also set out to explore physical AI applications, such as automotive and robotics. The venture remained subject to a definitive, legally binding agreement and customary closing conditions.5,6,7,8
In its cover note, Sony Group said the effect of the partnership on its consolidated financial results would depend on the terms of the definitive agreements, which it expected to be executed after discussions between the parties, and that it was evaluating that effect. It said it would disclose any additional material developments in a timely manner.9,10
Shinji Sashida, president and chief executive of Sony Semiconductor Solutions, called the venture a significant initiative that brings together the strengths of both companies and aims to advance next-generation image sensor technology and business. Kevin Zhang, a TSMC senior vice president and deputy co-chief operating officer, said the partnership reflected a shared commitment and mutual vision of using advanced technologies to deliver leading sensing products.11,12,13,14
The release concerns image sensors, the business Sony Semiconductor Solutions says it is centered on; the same group owns Sony Interactive Entertainment, the publisher of God of War Ragnarök and Marvel's Spider-Man 2.15,16,17
