Playtika agreed to refinance its $550 million revolving credit facility, with a new maturity of Mar 6, 2027
An amendment entered into on Feb 16, 2026 was to swap the facility for a new $550 million one on Mar 11, 2026, subject to conditions.
Playtika Holding Corp. entered into the Fifth Amendment to its credit agreement on Feb 16, 2026. It was to replace the company's existing $550 million revolving credit facility with a new $550 million facility on Mar 11, 2026, subject to conditions the amendment sets out. A revolving credit facility is a line of credit a company can draw on, repay and draw on again. Playtika reported the change in an 8-K filed Feb 17, 2026; an 8-K is the form a US-listed company files to disclose an event, and this one carries items 1.01 (a material agreement) and 2.03 (a new financial obligation).1,2,3,4,5
The new facility was to mature on Mar 6, 2027. Other than that maturity date, it was to keep the same material terms as the existing facility had immediately before the Fifth Amendment took effect. Under the Fifth Amendment, borrowings under the new facility were to bear interest, at Playtika's option, at Term SOFR (a forward-looking rate based on the secured overnight financing rate, with a floor of 0.00%) or at a base rate. A margin was added in each case. The margin was 3.00% a year on Term SOFR loans and 2.00% on base rate loans, with three step-downs of 0.25% that depended on the company's first lien net leverage ratio. Playtika was also required to pay each lender, quarterly, a commitment fee of 0.50% of the principal amount of that lender's unused commitments, with two step-downs of 0.125% tied to the same ratio.6,7,8,9
The credit agreement is dated Dec 10, 2019, and the 8-K names Bank of America, N.A., as administrative agent and collateral agent, as successor in interest to UBS AG, Stamford Branch, which in turn succeeded Credit Suisse AG, Cayman Islands Branch. An 8-K filed Dec 12, 2025 said that the Fourth Amendment to the same agreement would extend the maturity of the $550.0 million facility from Mar 11, 2026 to Sept 11, 2027, subject to conditions. In a separate 8-K filed Jan 14, 2026, Playtika announced a reduction in workforce as part of a larger adjustment to its cost structure and a reallocation of resources within its portfolio of games. The plan included a reduction of current employees by approximately 15% in the first quarter of 2026.1,10,11,12,13,14,15
