AMD signed a $5.0 billion revolving credit facility and lifted its commercial paper limit to $5.5 billion
The new facility replaced AMD's credit agreement of April 29, 2022, and at its annual meeting stockholders approved 65 million more shares for the equity plan.
On May 14, 2026, AMD entered into a credit agreement with JPMorgan Chase Bank, N.A. as administrative agent and a group of lenders; it provided a five-year, $5.0 billion unsecured revolving credit facility, a line AMD could borrow from, repay and borrow from again. The same day, AMD raised to $5.5 billion, from $3.0 billion, the most commercial paper it could have outstanding under a program it set up on Nov 3, 2022; commercial paper is short-term unsecured borrowing, and the notes' maturities could not exceed 397 days. AMD reported both in an 8-K filed on May 15, 2026, the form a US-listed company files to report an event between regular reports; it carries items 1.01, a material agreement, 1.02, an agreement ended, 2.03, a new financial obligation, 5.02, officers, directors or their pay, and 5.07, a shareholder vote.1,2,3,4,5,6,7
The new facility replaced AMD's credit agreement of Apr 29, 2022, with Wells Fargo Bank as agent, and AMD ended all remaining commitments under it. AMD said no borrowings were outstanding under the new facility at the closing date. Loans would bear interest at AMD's choice of a Base Rate plus 0.00%, or Term SOFR, a benchmark interest rate, plus a margin of 0.50% to 0.80% that depends on its credit ratings, and AMD agreed to pay a commitment fee of 0.03% to 0.05% on the unused part. The 8-K said there were no financial covenants under the agreement, and that proceeds of any borrowing could be used for general corporate purposes.2,8,9,10,11,12,13
