On Aug 17, 2026, Advanced Micro Devices (AMD) closed a public offering of $4.75 billion of senior notes, bonds that are general unsecured obligations of the company. The offering consisted of $1.25 billion of 4.600% notes due 2029, $1.50 billion of 5.000% notes due 2031, $1.00 billion of 5.250% notes due 2033 and $1.00 billion of 5.500% notes due 2036. Each series matures on Aug 17 of the year in its name. AMD reported the closing in an 8-K, the current report a US-listed company files on a material event, under item 1.01 (a material agreement) and item 2.03 (a new financial obligation).123456

AMD sold the notes to underwriters under an agreement dated Aug 13, 2026; Barclays Capital, BofA Securities, Citigroup Global Markets, J.P. Morgan Securities, Morgan Stanley and Wells Fargo Securities acted as their representatives. The public offering prices, at which the underwriters resold the notes, were 99.889% of principal for the 2029 notes, 99.921% for the 2031 notes, 99.919% for the 2033 notes and 99.757% for the 2036 notes. AMD said it intended to use the net proceeds for general corporate purposes, which might include repaying debt.789

AMD can redeem each series early at its option. Before a par call date set one to three months before maturity, the price is the greater of the present value of the remaining payments and 100% of principal, plus accrued interest; from that date it is 100% of principal plus accrued and unpaid interest. If a change of control triggering event occurs for a series, unless AMD has given notice to redeem that series, each holder can require AMD to buy its notes for cash at 101% of principal plus accrued interest. The notes are governed by an indenture, the contract that sets their terms, dated Jun 9, 2022 and supplemented on Aug 17, 2026; it limits AMD and its restricted subsidiaries in creating liens on certain assets to secure debt and in certain sale and leaseback transactions, and limits AMD in merging into another company or selling, conveying or leasing all or substantially all of its assets, with exceptions.10111213141516171

On May 14, 2026, AMD entered a credit agreement for a five-year, $5.0 billion unsecured revolving credit facility, a credit line, replacing its Apr 29, 2022 agreement. The same day it raised the ceiling on its commercial paper program, short-term unsecured notes that mature within 397 days, to $5.5 billion from $3.0 billion.18192021

This article rests on the 8-K for the offering and on AMD's 8-K of May 15, 2026 for the credit facility and the commercial paper program; the underwriting agreement, the supplemental indenture and the forms of notes, attached as exhibits, are not among the documents we read, so the terms are told as the 8-K summarizes them.2223
