CoreWeave and NVIDIA entered a new order form on Sep 9, 2025 that the filing puts at an initial $6.3 billion, the cloud company said in an 8-K it filed on Sep 15, 2025. An 8-K is the report a US-listed company files to announce certain events, such as a material agreement; this one came under item 1.01, which covers entry into a material definitive agreement. CoreWeave's shares were listed on Nasdaq as CRWV.1234

The order form covers CoreWeave's sale of reserved cloud computing capacity to its customers, and gives NVIDIA access to any capacity that stays unsold. NVIDIA was obligated to buy that residual unsold capacity through Apr 13, 2032, the filing said, subject to the termination rights the filing describes and to delivery and availability requirements. The order form came under a master services agreement dated as of Apr 10, 2023.567

Either side could end the master services agreement, and any order under it, after 30 days' written notice of a breach, or if the other became subject to insolvency proceedings not dismissed within 90 days. CoreWeave said it had determined the master services agreement was material because it was no longer immaterial in amount or significance. At the time of the filing NVIDIA also supplied CoreWeave with GPUs and was a stockholder of the company. CoreWeave said it would file the master agreement as an exhibit to its 10-Q, the quarterly report, for the quarter ending Sep 30, 2025.891011

CoreWeave filed further 8-K reports of material agreements on Sep 25, Sep 30 and Oct 2, 2025; the last also came under the item for creating a direct financial obligation. CoreWeave's annual report for 2025 later put revenue at $5.13 billion, up from $1.92 billion in 2024.121314151617
