On Mar 30, 2026, CoreWeave Compute Acquisition Co. VIII, an indirect subsidiary of CoreWeave, signed a credit agreement for an $8.5 billion delayed draw term loan facility, which the company calls DDTL 4.0. A delayed draw term loan is a loan the borrower can take in portions; here draws were available until June 2027, and the loans had a maturity date of Mar 31, 2032. CoreWeave reported it in a Form 8-K, the report a US-listed company files after a significant event, filed on Mar 31, 2026, the day it announced the closing. The filing said the facility was entered into primarily to finance capital expenditures required to perform a customer contract, including GPU servers and related infrastructure.12345

The company's press release put the facility's floating-rate tranche at SOFR plus 2.25%, SOFR being a benchmark interest rate, and its fixed-rate tranche at approximately 5.9%. It said CoreWeave could borrow up to approximately $7.5 billion at first and could raise total capacity to $8.5 billion once the underlying assets reached stabilization. The 8-K said the obligations were secured by substantially all assets of the borrower and its subsidiaries, and that the parent, CoreWeave, gave a guarantee limited to specified bad acts.6789

The release said the facility received ratings of A3 from Moody's and A (low) from DBRS, which the company called the first investment-grade rated financing secured by HPC infrastructure and an associated customer contract. MUFG Bank was the administrative agent, and the release said Blackstone Credit & Insurance anchored the facility. The company said the financing reflected a further reduction in its cost of capital.10111213

The release said CoreWeave had secured equity and debt financing commitments totaling approximately $28 billion in the past 12 months. An earlier facility in the series, DDTL 3.0, was set by a credit agreement dated Jul 28, 2025, which was amended on Dec 31, 2025. In April 2026 it issued senior notes due 2031 at 9.750%: $1.75 billion on Apr 14 and a further $1 billion on Apr 21.1415161718

This account of the facility rests on the 8-K and the press release attached to it, and the 8-K said portions of the credit agreement exhibit were omitted.19
