On Apr 21, 2026, CoreWeave completed a private offering of $1 billion in principal amount of additional 9.750% senior notes due 2031, according to its Form 8-K, the report a US-listed company files after a significant event, filed that day. The additional notes formed a single class with the $1.75 billion of the same notes that CoreWeave issued on Apr 14, 2026, for $2.75 billion outstanding under the indenture. They were issued at 102.000% of their principal amount. CoreWeave announced the launch of the offering, and then its pricing, in press releases on Apr 16, 2026.123456

The notes carried interest of 9.750% a year, payable twice a year from Oct 1, 2026, with a maturity date of Oct 1, 2031 and interest accruing from Apr 14, 2026. Certain wholly-owned subsidiaries of CoreWeave guaranteed them on a senior unsecured basis. The terms let CoreWeave redeem the notes before Oct 1, 2028 at 100% of principal plus a make-whole premium, a payment that compensates holders for interest they would lose. On a change of control triggering event, holders could require CoreWeave to repurchase the notes at 101% of principal plus accrued interest. The indenture limited, among other things, the ability of CoreWeave and its restricted subsidiaries to take on or guarantee more debt, pay dividends and create liens on certain assets. CoreWeave said it intended to use the proceeds for general corporate purposes, including repaying debt and paying the offering's costs.789101112
