On Aug 7, 2026, CoreWeave Financing DDTL V-V, LLC, an indirect subsidiary of CoreWeave, entered into a credit agreement for a $2.6 billion delayed draw term loan facility, a loan the borrower could take in several draws, which the company calls the DDTL 5.5 Facility. CoreWeave reported the agreement in an 8-K, the form a US-listed company files to disclose a major event, filed on Aug 10, 2026. The company said the facility was entered into mainly to finance capital expenditures needed to perform certain customer contracts, including GPU servers and related infrastructure. JPMorgan Chase Bank and MUFG Bank were the facility’s joint lead arrangers.12345

Borrowings that follow SOFR, a benchmark interest rate, paid Term SOFR plus 5.50% a year, and undrawn amounts incurred a fee of 0.50% a year. The 8-K said draws were available until a commitment termination date in December 2026 and gave a maturity date of Sep 1, 2031. CoreWeave, Inc. guaranteed all obligations under the facility, which were secured by substantially all assets of the borrower and its subsidiaries. The borrower had to keep a debt service coverage ratio of at least 1.35x, starting the first full month after the earlier of commitments falling to zero and Dec 31, 2026.67891011

In a press release dated Aug 10, 2026, furnished with the 8-K, CoreWeave said the facility was backed by a diverse group of leading AI, financial services and technology customers. It said the facility’s approximate five-year maturity ran beyond the approximately three years its underlying customer contracts averaged, and that shorter contracts often commanded higher prices, which it expected to let it capture higher margins. Brannin McBee, the company’s co-founder and chief development officer, said lenders had become comfortable financing shorter-dated contracts, which let the company target a wider range of customers, including global enterprises. The facility was rated Ba2 by Moody’s and BB+ by Fitch. The company said the facility followed the $3.1 billion DDTL 5.0 facility completed earlier that year and that, with this closing, it had secured more than $30 billion of debt and equity capital in the year to date.121314151617181920

On Aug 11, 2026, CoreWeave announced results for the quarter ended Jun 30, 2026; its 10-Q, the quarterly report, put revenue at $2.58 billion, against $1.21 billion a year earlier, and the net loss at $626 million, against $290 million. The 8-K says the credit agreement and the parent guarantee are filed as Exhibits 10.1 and 10.2, with portions of the credit agreement omitted.21222324252627
