GameStop agreed to swap about $1.4 billion of convertible notes for stock

Noteholders were to get Class A shares, with the count set in part by an average price over 35 trading days and closing expected around Sep 23, 2026; amendments on Aug 31 changed those terms.

GameStop agreed on Aug 2, 2026 to exchange about $1.4 billion of its convertible senior notes for shares of its Class A common stock, and reported it in an 8-K filed on Aug 3. An 8-K is the report a listed company files with the SEC when something material happens; this one used item 1.01 for a material agreement, item 3.02 for an unregistered sale of shares and item 8.01 for other events.12345

The notes are GameStop's 0.00% convertible senior notes due 2030 and 2032, debt that can be converted into shares under its terms. The company agreed to exchange about $400 million of the 2030 notes and about $1.0 billion of the 2032 notes, in principal amount, held by existing noteholders. It was not to receive any cash proceeds from issuing the shares.6789

The company said that after closing its long-term debt would fall by about $1.4 billion, leaving about $1.1 billion of 2030 notes and $1.7 billion of 2032 notes outstanding, in principal amount. The filing said the exchange retired the debt without using cash. The filing left the number of shares to be set later. It was to be set shortly before closing, based in part on the stock's volume-weighted average price (an average that weights each price by the volume traded at it) over a 35-trading-day reference period that began on Aug 3, 2026, subject to a per-share price floor. GameStop said it intended to file another 8-K with the final number of shares once it was set.101112

The filing expected closing on or about Sep 23, 2026, subject to customary closing conditions, and either GameStop or a participating noteholder could terminate its agreement if closing had not happened on or before Sep 30, 2026. The shares were to go to the noteholders in a private placement, outside the registration that securities law otherwise requires. GameStop expected that some or all of the participating noteholders might buy or sell the stock in the open market, or enter into or unwind derivative trades, to hedge or unwind their positions in the notes. The company said that activity could raise or lower the price of the stock or the notes, and that the effect might be material.13141516

On Aug 31, 2026, GameStop entered into amendments to the exchange agreements and reported them in an 8-K filed that day. As amended, the rest of the reference period was terminated: the consideration for the elapsed part was still to be settled in shares and the remaining consideration in cash. In total the noteholders were to receive about 55.5 million shares and about $358.4 million in cash, and closing was expected on or about Sep 3, 2026. The terms in the paragraphs above are those of the Aug 3 filing, not the amended ones. This article rests on the Aug 3 8-K and its press release, with the Aug 31 8-K read only for the amendments; the exchange agreements themselves and the names of the noteholders are not among the documents we read.17181920212234
